Actual Control / Companies

Actual control

The real ability to determine a company's decisions or an asset's fate independent of formal ownership: through authority, financing, contractual rights, dependence of management or security arrangements.

01

Practical significance

Actual control explains structures where the register says one thing and reality another. For transactions and disputes it matters more than the register entry: one must negotiate with whoever controls, not with whoever is recorded.

02

Where it is used

  • analysis of complex ownership structures
  • identification of the real center of decision-making
  • sanctions analysis (the control rule)
  • asset stripping disputes
03

What the term does not mean

This is not a legal category of ownership: it is an analytical conclusion about influence, recorded with indicators and a level of confidence, not as an established fact of ownership.

04

How it differs from «Ownership structure»

Ownership structure is the formal scheme according to registers; actual control is the real distribution of influence, which may not coincide with it. More about this term

05

Illustrative example

A company is 100% owned by a fund, but all revenue passes through a structure controlled by a third-party entrepreneur, who also issued loans and holds pledges. Control rests with him.
